GENERAL CONDITIONS SA CHAMPAGNE LEGRAND ERIC 2020

 

 

 

 

 

Article 1 – Purpose and scope of application

The general conditions described below detail the rights and obligations of SA CHAMPAGNE LEGRAND ERIC and its customer, within the framework of the sale of all the goods of our production.

Any order for products implies the buyer's unreserved acceptance and full adherence to these general conditions of sale.

These general conditions of sale apply, unless specific agreement prior to the order is agreed in writing between the parties.

Any document other than these general conditions of sale and the unit price scale has only an informative and indicative non-contractual value.

 

 

Article 2 - Order

By order, we mean any order relating to our products appearing on our unit price list, and accepted by our company, accompanied by payment, or unless otherwise specifically agreed in advance, of any deposit provided for.

Upon receipt of the order, it becomes irrevocable.

 

 

Article 3 – Price

The prices of the goods sold are those in effect on the day the order is placed. They are stated in Euros.

They will be increased, where applicable, by the transport costs applicable on the day of the order. The prices are defined by the scale of unit prices of our goods.

SA CHAMPAGNE LEGRAND ERIC reserves the right to modify these prices at any time.

However, it undertakes to invoice the goods ordered at the price indicated when the order is registered.

 

 

Article 4 – Delivery

Delivery is made:

  • Either by direct delivery of the goods to the buyer.

  • Either by sending a notice of availability to our premises for the buyer.

  • Either at the place indicated by the buyer on the order form.

The delivery time indicated when registering the order is given for information purposes only and is in no way guaranteed.

Consequently, any reasonable delay in the delivery of the products may not give rise to penalties or compensation for the benefit of the buyer, to cancellation of the order, or to refusal of delivery.

The risk of transport is borne entirely by the buyer.

In the event of goods being missing or damaged during transport, the buyer must make all necessary reservations with the carrier upon receipt of said goods and immediately inform the seller.

These reservations must also be confirmed in writing within 24 hours of delivery, by registered letter with acknowledgement of receipt.

Otherwise, no claim will be taken into consideration.

 

 

Article 5 – Discounts and rebates

Any possible discount or rebate will be defined when ordering and will appear on the corresponding invoice.

 

 

Article 6 – Discount

No discount will be granted for early payment.

 

 

Article 7 - Payment

Unless otherwise agreed in advance, all deliveries of our products are payable upon order.

In the event that a payment period is granted to the purchaser, orders will be payable on the due date appearing on the invoice.

 

 

Article 8 – Late payment

In the event of total or partial non-payment of the goods delivered on the day of receipt, the buyer must pay SA CHAMPAGNE LEGRAND ERIC a late payment penalty equal to the legal interest rate.

The legal interest rate used is that in force on the day of delivery of the goods.

This penalty is calculated on the amount including tax of the sum remaining due, and runs from the due date of the price without any prior formal notice being necessary.

Furthermore, in the event of non-payment in full of an invoice due, SA CHAMPAGNE LEGRAND ERIC reserves the right, without prior notice, to suspend any current and/or future delivery.

 

 

Article 9 – Reservation of ownership

The transfer of ownership of our products is suspended until full payment of the price thereof by the customer, in principal and accessories, even in the event of granting of a payment period.

By express agreement, our company may exercise the rights it holds under this retention of title clause, for any of its receivables, on all of its products, in the possession of the customer, these being conventionally presumed to be those to be paid, and our company may repossess them or claim them as compensation for any invoice remaining unpaid, without prejudice to its right to terminate current sales.

 

The transfer of risks of loss and deterioration of the goods takes place upon delivery, the buyer will therefore bear the risks concerning the loss and deterioration of the goods from the time of delivery.

 

Article 10: Right of withdrawal - If the customer is a professional

No right of withdrawal is granted to him.

- If the customer is a private consumer

In the event of a sale concluded remotely or off-premises, the customer has 14 days from the day of receipt of the wines to withdraw. The customer can use the attached withdrawal form, but this is not obligatory.
The winegrower will then reimburse the consumer for all payments received, upon receipt of the returned goods.
The winegrower will make the refund using the same means of payment that the customer used for the initial transaction, unless a different means is agreed.
in any event, this refund will not incur any costs for the customer. If at the time of withdrawal the customer has received the bottles, he must return them to the address of the farm without undue delay, and in any event, no later than fourteen days after his notification of withdrawal. This deadline is deemed to have been respected if the good is returned before the expiry of the fourteen-day period.

The customer may be held liable in the event of depreciation of the goods resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of these goods.

- If the sale was concluded at a fair or exhibition

The customer has no right of withdrawal.

 

Article 11 – Conservation

To preserve the quality of Champagne wines, it is necessary to keep the bottles lying down in a cool place, away from light.

Our company cannot be held liable for any quality defect in our products, the origin of which is established to be due to non-compliance with these storage instructions.

 

In the event that a quality defect is found which is attributable to our company, the latter will only be required to replace the defective goods free of charge, without the customer being able to claim damages for any reason whatsoever.

Our warranty only applies to products that have regularly become the property of the buyer by payment of the agreed price. Our warranty is limited to a period of 6 months after delivery of our products.

It automatically ceases at the end of this period.

 

 

Article 12 – Disputes

Our sales are subject to French legislation.
The high court of the seller's domicile is expressly granted jurisdiction.
